DEFINITIONS

The following terms carry the meanings defined below throughout this document:

  • "Platform" means The Employee Hub web-based HR and attendance management system developed and operated by TechPack LLC.
  • "Company" means TechPack LLC, the legal entity that owns, operates, and maintains the Platform.
  • "Organization" means A business entity, company, or legal person that has entered into a service agreement with TechPack LLC and accesses the Platform for corporate HR management purposes.
  • "User" means Any individual who accesses the Platform under an Organization's account, including System Administrators, HR Managers, Managers, and Employees.
  • "Administrator" means A User granted full administrative access to manage the Platform configuration, user permissions, and organizational settings.
  • "Employee User" means A User accessing the Platform for self-service features such as attendance viewing, leave requests, and time submissions.
  • "Content" means Any data, documents, files, digital signatures, reports, images, or other material uploaded or created by Users within the Platform.
  • "Personal Data" means Information that identifies or can identify a natural person, as defined under applicable Mongolian law.
  • "Third-Party Services" means External systems integrated with the Platform, including but not limited to Firebase, AWS S3, Odoo ERP, Microsoft SharePoint, and Google Maps.
  • "Agreement" means These Terms and Conditions together with any separately executed service agreement between TechPack LLC and the Organization.

1. INTRODUCTION AND PLATFORM OVERVIEW

1.1 Employee Hub is a comprehensive, cloud-based human resources and attendance management platform developed by TechPack LLC. The Platform is designed exclusively for business-to-business (B2B) use, enabling organizations to manage employee attendance, work schedules, leave requests, approval workflows, performance evaluations, safety reporting, and payroll cycle administration from a single unified system.

1.2 The Platform operates as a web application accessible via modern internet browsers. It does not currently operate as a standalone downloadable mobile application.

1.3 The Platform is intended for use within organizations operating under Mongolian law, though it may be used by organizations with international operations subject to applicable local regulations.

1.4 By accessing or using the Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.

2. ACCEPTANCE OF TERMS

2.1 Access to and use of the Platform constitutes unconditional acceptance of these Terms and Conditions. This acceptance is binding on both the individual User and the Organization on whose behalf the User accesses the Platform.

2.2 If you are accessing the Platform on behalf of an Organization, you represent and warrant that you have full authority to bind that Organization to these Terms and Conditions.

2.3 If you do not agree to any part of these Terms and Conditions, you must immediately discontinue use of the Platform and contact info@techpack.mn to request account closure.

2.4 These Terms and Conditions take precedence over any prior oral or written representations or agreements regarding Platform use, unless a separately executed service agreement explicitly supersedes specific provisions herein.

3. ELIGIBILITY AND ACCESS

3.1 To access the Platform, a User must:

  • Be a natural person with full legal capacity under Mongolian law;
  • Be formally appointed or authorized by an Organization with an active service agreement with TechPack LLC;
  • Act strictly within the scope of permissions assigned to their user role;
  • Not be subject to any legal prohibition against using digital services of this nature.

3.2 The Platform is not designed for or directed at individuals under the age of 18. Organizations are responsible for ensuring that all Users granted access are legally eligible adults.

3.3 Access rights are granted per Organization and per User role. An individual User's access is contingent on the continued validity of the Organization's service agreement with TechPack LLC.

3.4 The Company reserves the right to verify eligibility at any time and to suspend or revoke access where eligibility requirements are not met.

4. USER ACCOUNTS AND REGISTRATION

4.1 The Platform uses Firebase Authentication technology for user identity verification. Each User account is uniquely identified by a registered email address and secured with a password.

4.2 Account creation is initiated by the Organization's designated Administrator. Individual Users do not self-register; accounts are provisioned by the Administrator within the Organization's environment.

4.3 Password requirements include a minimum of 8 characters, at least one uppercase letter, and at least one numeric digit. These requirements are enforced by the Platform at the time of account creation and password reset.

4.4 Authentication tokens are issued upon successful login and expire after a period of 7 days. Users must re-authenticate upon token expiry. The Platform automatically terminates sessions upon receiving unauthorized (401) error responses.

4.5 If a User forgets their password, a password reset link is delivered to the registered email address via the "Forgot Password" function. The reset link is valid for a limited time period and single use only.

4.6 Users must ensure that all account registration information is accurate, current, and complete. Providing false or misleading registration information is a material breach of these Terms and Conditions.

4.7 Each User account is personal and non-transferable. Users must not share login credentials with any other person, including colleagues within the same Organization.

5. ACCOUNT SECURITY

5.1 Each User is solely responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.

5.2 Users must notify TechPack LLC immediately at info@techpack.mn if they suspect unauthorized access to their account, credential compromise, or any security breach affecting their login information.

5.3 Upon suspicion of credential compromise, Users must immediately change their password and review recent account activity.

5.4 The Company implements the following technical security measures:

  • JWT (JSON Web Token) based authentication;
  • HTTP-only secure cookies to prevent XSS-based credential theft;
  • CSRF (Cross-Site Request Forgery) protection via SameSite cookie policies;
  • XSS prevention headers (X-Content-Type-Options, Content Security Policy);
  • Clickjacking prevention via X-Frame-Options headers;
  • HTTPS-only access enforced via HSTS (HTTP Strict Transport Security);
  • Automatic session termination on unauthorized response detection;
  • Retry-safe API error handling to prevent session hijacking.

5.5 The Company will never request a User's password via email, phone, or any communication channel outside the Platform's official password reset flow.

5.6 Administrators are responsible for promptly revoking access for departed employees or Users who no longer require Platform access.

6. USER ROLES AND PERMISSION STRUCTURE

6.1 The Platform implements Role-Based Access Control (RBAC). Access to features, data, and administrative functions is governed strictly by the role assigned to each User. The following roles are supported: Role Access Scope Full platform configuration, all user management, System Administrator multi-business switching, permission assignment, all organizational data Employee records management, group configuration, HR Manager reports, approval oversight, notifications, org chart Attendance oversight for assigned employees, leave Manager and time request approval, substitution and assignment management Self-service features: own attendance, own leave Employee requests, own time submissions, own profile

6.2 The Organization's Administrator is responsible for correctly assigning roles to Users and ensuring that permissions are appropriate to each User's organizational responsibilities.

6.3 Users must not attempt to access features, data, or records beyond the scope of their assigned role. Attempts to circumvent role-based access controls constitute a material breach of these Terms and Conditions.

6.4 The Platform supports multi-business environments, allowing a single Administrator to manage multiple business entities. Data between separate business entities is fully segregated. No data from one entity is accessible within another entity's environment without explicit cross-entity authorization.

7. PLATFORM FEATURES AND PERMITTED USE

7.1 Attendance and Time Management The Platform provides the following attendance and time management capabilities:

  • Real-time employee attendance monitoring (present, absent, late, on leave);
  • Work schedule creation and management, including standard and rotating shift models;
  • Time schedule configuration (start time, permitted start window, end time, permitted end window, night shift flags);
  • Payroll cycle management (daily, weekly, monthly configurations);
  • Employee group-based time plan assignment;
  • Time request locking periods (submission lock and approval lock);
  • Overtime pool tracking and calculation;
  • Automated time calculation settings (overtime, early departure, late arrival thresholds);
  • Attendance reports with Chart.js data visualizations.

7.2 Employee Record Management

  • Full employee record management (name, contact details, department, position, manager assignment);
  • Organizational hierarchy and reporting structure management;
  • Employee group creation and team assignment;
  • Children and dependent information records, including birth certificate document storage;
  • Device registration and deactivation for attendance-linked device management;
  • Substitute employee assignment for absence coverage;
  • Business trip and appointment recording;
  • Annual leave configuration per employee.

7.3 Approval Workflows The Platform supports multi-stage approval workflows for the following request types:

  • Time requests (leave, tardiness corrections, time log adjustments);
  • Annual leave requests;
  • Petitions and formal applications (with digital signature capture);
  • Reference letter and certificate requests;
  • Overtime calculation approvals;
  • Procurement and purchase requests;
  • Non-conformance incident approvals;
  • Risk assessment approvals.

7.4 Rules, Regulations, and AI-Assisted Policy Query

  • Company policy and regulation document management;
  • Instruction and guideline document management;
  • AI-powered chatbot for policy-related queries (see Section 11 for disclaimer).

7.5 Compliance and Safety

  • Safety hazard report submission and tracking;
  • Non-conformance incident logging;
  • Risk assessment management.

7.6 Performance and Engagement

  • Employee performance evaluation management;
  • Employee satisfaction survey creation and collection;
  • Employee feedback collection.

7.7 Administration and Configuration

  • Organizational chart (org chart) creation and management;
  • User role and permission configuration;
  • Calendar event management with recurring schedule support;
  • Email, in-app, and banner notification management;
  • Integration log monitoring (Odoo ERP, payroll synchronization).

8. EMPLOYEE DATA AND RECORDS

8.1 In the ordinary course of operating the Platform's HR and attendance features, the following categories of employee data may be collected, processed, and stored:

  • Full name, national registration number (national ID), date of birth;
  • Contact information (email address, phone number);
  • Organizational information (department, position, reporting manager, employee group);
  • Attendance records (check-in/check-out times, tardiness, absence data);
  • Leave history (approved, rejected, cancelled requests);
  • Payroll cycle assignment and payroll-related time data;
  • Performance evaluation records;
  • Children's and dependents' information (name, national registration number, gender, age, birth certificate images);
  • Device information (registered devices used for attendance);
  • Location data where attendance location configuration is enabled;
  • Digital signatures captured during petition and approval workflows.

8.2 The Organization is solely responsible for:

  • Informing employees that their data will be collected and processed within the Platform;
  • Obtaining all legally required consents from employees prior to data entry;
  • Ensuring data entered into the Platform is accurate and lawfully obtained;
  • Ensuring that children's data is processed only with parental or legal guardian consent.

8.3 TechPack LLC processes employee data exclusively as a data processor acting under the Organization's instruction as the data controller, in accordance with any applicable data processing agreement (DPA) entered into between the parties.

8.4 The Organization must not enter into the Platform any data that it does not have lawful authority to process.

9. CONTENT UPLOADS AND DOCUMENT MANAGEMENT

9.1 The Platform enables Users to upload the following types of files and documents:

  • PDF, Word, and Excel documents (policy documents, regulations, instructions);
  • Image files (JPEG, PNG) including employee photographs and birth certificates;
  • Digital signature images and drawn signatures captured via the Platform's signature pad;
  • Reference letters, certificates, and formal correspondence;
  • Procurement-related documents and supporting materials.

9.2 All uploaded files are transmitted securely and stored on Amazon Web Services Simple Storage Service (AWS S3) infrastructure located in the ap-southeast-1 region. By uploading content, Users acknowledge and consent to this storage arrangement.

9.3 Users uploading content to the Platform represent and warrant that:

  • They have full legal authority to upload and share the content;
  • The content does not infringe any third-party intellectual property rights;
  • The content does not contain malware, viruses, or malicious code;
  • The content complies with all applicable Mongolian laws and regulations;
  • The content does not include personal data of third parties without appropriate lawful basis.

9.4 The following content is strictly prohibited from upload:

  • Malicious code, spyware, trojans, ransomware, or any harmful software;
  • Content that infringes copyright, trademark, or other intellectual property rights;
  • Defamatory, harassing, or unlawfully discriminatory content;
  • Content that violates Mongolian criminal or civil law;
  • Personal data uploaded without a lawful basis or without the data subject's consent.

9.5 The Company reserves the right to review, quarantine, or remove uploaded content that violates these provisions, without prior notice, and to report such violations to the relevant authorities where legally required.

9.6 Ownership of uploaded Content remains with the Organization or the individual who uploaded it. By uploading Content, Users grant TechPack LLC a limited, non-exclusive license to store, transmit, and process the Content solely for the purpose of delivering Platform services to the Organization.

10. DIGITAL SIGNATURES

10.1 The Platform includes a digital signature capture feature used in the context of petition approvals and formal authorization workflows. Users may submit signatures via drawn input or image file upload.

10.2 Users signing documents through the Platform represent that:

  • The signature is their own and is submitted with full intent to authorize the relevant document;
  • They have authority to sign on behalf of the indicated party;
  • The signature is legally binding to the same extent as a handwritten signature under applicable Mongolian law.

10.3 The Organization is responsible for establishing and maintaining its own internal policies regarding the evidentiary value and enforceability of digitally signed documents under applicable Mongolian law. TechPack LLC does not provide legal advice regarding the enforceability of digital signatures.

11. AI-POWERED POLICY ASSISTANT

11.1 The Platform includes an AI-powered chatbot assistant integrated within the Rules and Regulations module. This assistant is designed to respond to employee queries about company policies, procedures, and guidelines based on documents uploaded by the Organization.

11.2 IMPORTANT DISCLAIMER: The AI assistant is provided for informational and convenience purposes only. Users are expressly advised that:

  • Responses generated by the AI assistant do not constitute legal advice, professional HR advice, or official organizational policy;
  • The AI may produce responses that are incomplete, imprecise, or outdated relative to the most current version of an uploaded policy document;
  • The AI operates solely on the basis of documents made available to it within the Platform and may not reflect external laws, regulations, or standards;
  • No response from the AI assistant should be relied upon as the sole basis for a significant employment, legal, or compliance decision.

11.3 Users should always verify important policy questions directly with their HR department or legal counsel.

11.4 TechPack LLC accepts no liability for decisions made by Users or Organizations in reliance on AI assistant outputs. The Organization assumes full responsibility for any consequences arising from reliance on AI-generated responses.

11.5 The AI assistant does not retain conversation history between sessions and does not use personal employee data to personalize its responses.

12. THIRD-PARTY INTEGRATIONS AND SERVICES

12.1 The Platform integrates with the following third-party services to deliver its functionality: Service Provider Purpose Firebase Authentication & Firestore Google LLC User authentication, session management AWS S3 Amazon Web Services File and document storage Odoo ERP Odoo S.A. 12.2 Each third-party service operates under its own terms of service and privacy policy. TechPack LLC does not control and is not responsible for the data practices, availability, accuracy, or security of third-party services.

12.3 Users and Organizations accessing the Platform acknowledge that use of integrated third-party services may involve the transfer of certain data to those services' infrastructure, which may be located outside Mongolia. By using the Platform, the Organization consents to such transfers to the extent necessary for Platform operation.

12.4 In the event of a disruption, data loss, or breach affecting a third-party service, TechPack LLC will use commercially reasonable efforts to notify affected Organizations but accepts no liability for disruptions attributable to third-party service providers.

12.5 For Odoo ERP and SharePoint integrations, the Organization is responsible for maintaining valid licenses and configurations with those respective service providers. TechPack LLC provides the integration mechanism but is not responsible for data consistency or loss arising from misconfiguration on the Organization's side.

13. NOTIFICATION SERVICES

13.1 The Platform delivers notifications through the following channels:

  • In-application notifications: Displayed within the Platform interface to logged-in Users;
  • Email notifications: Sent to registered User email addresses for approval requests, status updates, and system events;
  • Banner notifications: System-wide messages configured by Administrators and displayed across the Platform interface.

13.2 Notification content and targeting is configured by the Organization's Administrator. TechPack LLC delivers notifications as configured and is not responsible for the accuracy or appropriateness of notification content.

13.3 Users may adjust certain notification preferences within their profile settings. However, security-critical notifications and mandatory system alerts cannot be disabled.

13.4 Email notifications are delivered via the Platform's email infrastructure. TechPack LLC does not guarantee delivery of email notifications to all addresses due to factors outside its control, including spam filtering by recipient email providers.

14. LOCATION DATA

14.1 The Platform includes the capability to configure attendance location requirements using Google Maps integration. Where an Organization enables location-based attendance features, the Platform may collect and process location data to verify that attendance is recorded from an approved physical location.

14.2 Location data collection is an optional feature activated at the Organization's discretion. Where activated, the Organization must:

  • Inform employees that location data will be collected during attendance registration;
  • Obtain legally required consents from employees;
  • Comply with all applicable laws regarding employee location monitoring.

14.3 Location data collected through the Platform is used solely for the purpose of attendance verification. It is not used for tracking employee movements outside of attendance registration events.

15. INTELLECTUAL PROPERTY RIGHTS

15.1 All intellectual property in and relating to the Platform — including but not limited to the source code, software architecture, algorithms, user interface design, logos, trademarks, trade names, documentation, and any accompanying materials — is the exclusive property of TechPack LLC and is protected under Mongolian law, including the Law on Copyright and Related Rights and the Law on Trademarks and Geographical Indications.

15.2 These Terms and Conditions grant Users and Organizations a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the Organization's internal HR management purposes during the term of the applicable service agreement.

15.3 Users and Organizations must not:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Platform or any part thereof;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the Platform's source code;
  • Remove, alter, or obscure any proprietary notices or labels on the Platform;
  • Sub-license, resell, rent, lease, or otherwise transfer access to the Platform to any third party;
  • Use the Platform's name, logo, or branding without prior written consent from TechPack LLC.

15.4 Content created or uploaded by the Organization (including policy documents, regulations, employee data, and reports) remains the intellectual property of the Organization. TechPack LLC claims no ownership over Organization Content.

15.5 Any feedback, suggestions, or enhancement requests submitted by Users regarding the Platform may be used by TechPack LLC to improve the Platform without obligation of attribution or compensation.

16. USER CONDUCT AND PROHIBITED ACTIVITIES

16.1 Users must use the Platform solely for its intended HR management purposes and must at all times comply with applicable law and these Terms and Conditions.

16.2 The following activities are strictly prohibited:

A. Security and System Integrity Violations:

  • Attempting to gain unauthorized access to any account, system component, or data beyond the User's assigned role;
  • Probing, scanning, or testing the Platform's security vulnerabilities without express written authorization from TechPack LLC;
  • Introducing malware, trojans, viruses, ransomware, or any harmful code into the Platform;
  • Circumventing, disabling, or interfering with any authentication, access control, or security mechanism;
  • Using automated bots, scrapers, or scripts to access or extract data from the Platform.

B. Data and Privacy Violations:

  • Accessing, copying, or sharing personal data of employees beyond the scope of authorized HR activities;
  • Uploading personal data without a lawful basis;
  • Exporting or extracting Platform data for use outside the Organization's legitimate HR purposes;
  • Altering or deleting audit logs, attendance records, or system-generated data.

C. Misuse of Platform Features:

  • Submitting false, fabricated, or misleading attendance records, leave requests, or approval decisions;
  • Impersonating another User or acting outside the scope of one's assigned organizational role;
  • Sharing login credentials with colleagues, contractors, or any other party;
  • Selling, transferring, or sublicensing access rights to any third party;
  • Using the AI assistant's outputs as a substitute for professional legal or HR advice.

D. Legal Violations:

  • Any activity that violates Mongolian law, regulations, or legally binding orders;
  • Infringing the intellectual property rights of TechPack LLC or any third party;
  • Harassment, discrimination, or any unlawful conduct directed at other Users.

17. PRIVACY AND PERSONAL DATA

17.1 TechPack LLC processes personal data in compliance with the Law of Mongolia on Personal Data Protection and all applicable data protection regulations.

17.2 In its capacity as a data processor, TechPack LLC collects and processes the following categories of data:

  • Account data: Name, email address, organizational affiliation;
  • Usage data: Login history, session activity, action logs, API calls, error events;
  • Employee HR data: As entered by the Organization (see Section 8);
  • Technical data: IP address, browser type, device information, session tokens.

17.3 Personal data is used exclusively for the following purposes:

  • Providing and improving Platform services;
  • Authenticating Users and managing sessions;
  • Delivering notifications as configured;
  • Maintaining Platform security and integrity;
  • Fulfilling legal obligations, including responding to lawful government requests.

17.4 TechPack LLC will not sell, rent, or share personal data with third parties except:

  • With Third-Party Services as described in Section 12, where necessary to operate the Platform;
  • With the Organization as the data controller, upon authorized request;
  • As required by Mongolian law, court order, or lawful regulatory authority;
  • In the event of a corporate transaction (merger, acquisition), with appropriate data protection commitments by the successor entity.

17.5 For full details of data handling practices, please refer to the separate Privacy Policy document.

18. COOKIES AND SESSION MANAGEMENT

18.1 The Platform uses HTTP-only cookies to manage authentication sessions. These are security-essential cookies and cannot be disabled without preventing Platform access.

18.2 The Platform may use limited session or performance-related cookies for the purpose of maintaining user sessions, detecting security anomalies, and ensuring Platform performance.

18.3 The Platform does not use third-party advertising cookies or behavioral tracking cookies for marketing purposes.

19. SECURITY MEASURES AND INCIDENT RESPONSE

19.1 TechPack LLC implements commercially reasonable technical and organizational security measures to protect Platform data and infrastructure, including:

  • End-to-end HTTPS encryption for all data in transit;
  • HTTP-only, SameSite secure cookies;
  • XSS, CSRF, and clickjacking protections;
  • Automated session termination on unauthorized access detection;
  • API retry-safe error handling to prevent brute-force escalation;
  • Role-based access enforcement at both frontend and API levels;
  • Access and audit logging.

19.2 In the event of a confirmed security incident affecting the Platform that may result in unauthorized access to personal data, TechPack LLC will:

  • Investigate the incident promptly upon detection;
  • Notify affected Organizations within 72 hours of confirmation;
  • Take remediation steps to contain and resolve the incident;
  • Cooperate with regulatory authorities as required by law.

19.3 The Organization must promptly notify TechPack LLC of any security incidents or suspected breaches that originate from or affect the Organization's User accounts.

20. SERVICE AVAILABILITY AND UPTIME

20.1 TechPack LLC endeavors to maintain Platform availability of 99% or higher, measured on a monthly basis, excluding scheduled maintenance windows and events outside TechPack LLC's reasonable control.

20.2 The Platform may experience planned or unplanned downtime due to:

  • Scheduled maintenance and software updates (advance notice of at least 48 hours will be provided for planned maintenance);
  • Critical security patches requiring immediate deployment (without advance notice);
  • Third-party service outages (Firebase, AWS, Odoo, SharePoint);
  • Force majeure events (natural disasters, widespread network outages, government-ordered shutdowns).

20.3 Unless expressly agreed in a separate service level agreement (SLA) with the Organization, TechPack LLC does not provide uptime guarantees that carry financial remedies or service credits.

20.4 In the event of extended unplanned downtime, TechPack LLC will publish status updates through available communication channels.

21. PLATFORM MODIFICATIONS AND UPDATES

21.1 TechPack LLC reserves the right to modify, enhance, reduce, or discontinue any feature or functionality of the Platform at any time.

21.2 For material changes affecting core functionality, TechPack LLC will provide at least 14 calendar days' advance notice to Organizations via in-platform notification or email.

21.3 Platform updates may require Users to log out and re-authenticate. Updated software versions are deployed automatically and do not require manual installation by Users.

21.4 TechPack LLC may modify these Terms and Conditions at any time. The revised Terms will be published on the Platform with an updated effective date. Where changes are material, Organizations will be notified at least 14 days prior to the revised Terms taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

22. ACCOUNT SUSPENSION AND TERMINATION

22.1 Suspension by TechPack LLC TechPack LLC reserves the right to suspend or terminate an Organization's or individual User's access to the Platform, with or without prior notice, in the following circumstances:

  • Material breach of these Terms and Conditions;
  • Expiry or termination of the service agreement between TechPack LLC and the Organization;
  • Non-payment of applicable service fees;
  • Conduct that poses a security risk to the Platform or other Users;
  • Legal or regulatory requirement;
  • Fraudulent, abusive, or illegal activity.

22.2 Termination by the Organization Organizations may request termination of their Platform access by providing written notice to TechPack LLC in accordance with the terms of their service agreement.

22.3 Effect of Termination Upon termination of an Organization's account:

  • All User access under that Organization's environment will be immediately revoked;
  • The Organization will have 30 calendar days from the termination date to export and retrieve its data;
  • After the 30-day retrieval window, TechPack LLC may permanently delete all Organization data from its systems;
  • Provisions of these Terms that by their nature survive termination (including Sections 15, 16, 21, 22, 23, 24, 25) will continue to apply.

22.4 Individual User Termination An Organization's Administrator may deactivate individual User accounts at any time. Users whose accounts are deactivated will immediately lose access to the Platform.

23. DISCLAIMER OF WARRANTIES

23.1 THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

23.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHPACK LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement;
  • Warranties that the Platform will be error-free, uninterrupted, or free of security vulnerabilities;
  • Warranties that data entered into the Platform will be processed with complete accuracy;
  • Warranties as to the accuracy, completeness, or reliability of AI assistant outputs;
  • Warranties regarding the continued availability or performance of any third-party integrated service.

23.3 TechPack LLC does not warrant that the Platform will meet the specific requirements of any particular Organization, or that it will be free from all defects or errors.

24. LIMITATION OF LIABILITY

24.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE MONGOLIAN LAW, TECHPACK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of business, revenue, profit, or anticipated savings;
  • Loss of data or costs of data recovery;
  • Loss of goodwill or reputation;
  • Business interruption losses;
  • Costs of procurement of substitute services.

24.2 In any case where TechPack LLC's liability is established, TechPack LLC's aggregate liability to the Organization shall not exceed the total amount of service fees paid by the Organization to TechPack LLC in the three-month period immediately preceding the event giving rise to the claim.

24.3 TechPack LLC shall not be liable for:

  • Losses arising from a User's failure to maintain account security;
  • Losses caused by a User's violation of these Terms and Conditions;
  • Losses attributable to third-party service outages or failures;
  • Losses arising from the Organization's failure to correctly configure access permissions;
  • Losses arising from reliance on AI assistant outputs;
  • Losses arising from force majeure events.

24.4 Nothing in these Terms and Conditions limits TechPack LLC's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

25. INDEMNIFICATION

25.1 The Organization agrees to defend, indemnify, and hold harmless TechPack LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • The Organization's or its Users' breach of these Terms and Conditions;
  • The Organization's or its Users' violation of any applicable law;
  • Content uploaded by the Organization or its Users that infringes third-party rights;
  • The Organization's failure to obtain legally required employee consents for data processing;
  • Any claim by an employee of the Organization arising from the Organization's use of the Platform;
  • Unauthorized use of the Platform by individuals granted access under the Organization's account.

26. GOVERNING LAW

26.1 These Terms and Conditions are governed by and construed in accordance with the laws of Mongolia, without regard to its conflict of law provisions.

26.2 The parties agree that the courts of Mongolia shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms and Conditions or the use of the Platform, unless a separately executed service agreement specifies an alternative dispute resolution mechanism.

27. DISPUTE RESOLUTION

27.1 The parties agree to attempt in good faith to resolve any dispute arising from or relating to these Terms and Conditions through direct negotiation before initiating formal proceedings.

27.2 A party seeking to initiate dispute resolution must send written notice to the other party at the contact details specified in these Terms or the applicable service agreement, describing the nature of the dispute and the relief sought.

27.3 If the parties are unable to resolve a dispute through negotiation within 30 calendar days of the written notice, either party may pursue resolution through the competent courts of Mongolia.

27.4 Where a separately executed service agreement between TechPack LLC and the Organization specifies an alternative dispute resolution mechanism (such as arbitration), that mechanism shall govern in priority to this clause.

28. SEVERABILITY

28.1 If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms.

28.2 The invalidity of any provision will not affect the validity or enforceability of the remaining provisions, which will continue in full force and effect.

29. ENTIRE AGREEMENT

29.1 These Terms and Conditions, together with any separately executed service agreement and the Privacy Policy, constitute the entire agreement between TechPack LLC and the Organization regarding the use of the Platform.

29.2 These Terms supersede all prior or contemporaneous representations, warranties, understandings, and agreements, whether written or oral, relating to the Platform.
